Correction of bylaws

Post by Lord Dubh » 2013-11-26

Pat,

8. A quorum is set at four-fifths of the voting Board members before business can be
transacted or motions made or passed. (Clarified by Board December 2012, to be
ratified by Senate CY2013) WAS NOT PASSED BY SENATE!

It should revert to:
8. A quorum is set at three-fifths of the voting Board members before business can be transacted or motions made or passed.

This is INCORRECT: If the change was not approved by the Senate then it goes back to:

8. A quorum is set at four-fifths of the Board members before business can be
transacted or motions made or passed.

The only thing we did was add the word VOTING. That is why the wording 'voting' is in italics. The 'four-fifth' requirement was passed when the new bylaws were ratified in November 2012.

So how would one go about changing that? Make another proposal to make it three-fifths instead of four-fifths? The reason it was voted down was because it had four-fifths in it.

The Senate overwhelmingly voted for it being the way it had always been in the past, at 3/5.

Personally, since Senate wanted it that way, I am not sure we even need another vote. However, given the response, this should be a very, very easy thing to handle (even to a supermajority) at the next event.

Follow precedence, it's simple enough and in the last Article of the By Laws

You should put "voting" into the section as we had initially. The reason for it is because the Board now consists of 7 members, 5 voting and 2 Non-voting. While the intent has always been for quorum to be based on voting members, without it being stated explicitly an asshat can procedurally argue that non-voting members count.

Just repeating the argument presented to add "voting" to the wording.

I agree - because I was the one who misworded it to senate about what it was and what it was to be if voted down that is my fault ... at the next and last senate meeting of the year when all topics that the BD voted no on is presented to the senate with the reasons for a possible senate 3/4 overturn of BD no I will be representing adding "voting" to the wording again as it passed BD already so as to help BD function and achieve quorum if senate approves then it will go directly into the bylaws... if senate next year wishes to change the 4/5th to 3/5ths then they can propose and go threw proper channels next year for that change

In the interest of keeping the club updated as a whole, would it be possible to get a quick list of what needs to be revoted on at the triumvirate?

I realize today is Thanksgiving so I'm not asking for it to happen today, just at your earliest convenience.

I need to confirm which I will do by the end of this weekend...

but the only things senate will need to address is:
Rogue proposal by Thom Hitz
and a revote on adding "voting" to the bylaws in one section

the reasons will be presented to senate for both submissions to go back before senate and then senate will have the choice to revote on them if they wish

happy T day :)

Perhaps we could have them earlier, so we can have some time to address said issues, and offer a counter proposal rather than wait until July 2014?

Or should I just hire Muffin and Cinnamon to bake goods and buy Senate votes for overturn? :)
